TERMS OF SERVICE

Acceptance of Terms By accessing or using Clooza (the “Platform”), operated by Clooza Inc., a Delaware corporation (Filing No. 10096292) located at 8 The Green, Ste A, Dover, DE 19901, you agree to these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Platform. Clooza provides a platform for discovering events, activities, and places. The Platform allows users to browse and discover events, activities, and places; purchase tickets and event merchandise; create and manage user profiles; and engage socially.

User Accounts and Registration

Eligibility: You must be at least 18 years old to use Clooza. By creating an account, you represent that you meet this age requirement and have the legal authority to enter into a contract with Clooza. Account Information: You agree to provide accurate, current, and complete information when registering and to update your account as needed. You are responsible for safeguarding your login credentials and for any activity on your account. Verification: Clooza reserves the right to verify your identity or contact information at any time, and to suspend or terminate accounts suspected of using false information or unauthorized use.

Use of the Platform

License: Clooza grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial use in accordance with these Terms. Restrictions: You may not copy, modify, distribute, reverse engineer, or create derivative works of the Platform. You agree not to use the Platform for illegal activities or to infringe on any third party’s rights. Service Availability: Clooza does not guarantee that the Platform will be available at all times. We may modify, suspend, or discontinue all or part of the Platform at any time.

Tickets, Events, Activities, and Purchases

Clooza facilitates ticket sales and purchases of event merchandise and related products through the Platform. Third-Party Sellers: Transactions may involve third-party vendors or organizers. Your transaction is directly with them. Payments and Fees: You agree to pay all fees at listed prices. Clooza is not responsible for payment fraud. Refunds and Cancellations: Governed by each event's and activity's policy. Clooza does not guarantee refunds. User Error: You are responsible for verifying event details before purchase. Ticket Validity: Event admission is subject to the organizer’s requirements.

User Content and Social Interactions

Clooza allows user interactions including:

• Posting content like tweets (microblogging).
• Sharing photos, comments, reviews.
• Following, liking, and sharing events and profiles.

• Ownership and License: You retain ownership but grant Clooza a license to use, reproduce, and promote your content.
• Responsibility: You are solely responsible for your posts. Do not post unlawful or infringing content.
• Moderation: Clooza may remove content that violates these Terms.
• Third-Party Content: Clooza is not responsible for posts by other users.

Cancellation and Refund Policy (Event and Activity Bookings)

At Clooza, we’re committed to ensuring a smooth experience for both event organizers and attendees. Please review our policy below regarding cancellations and refunds:

1. Organizer-Initiated Cancellations Only event or activity organizers have the authority to cancel bookings. If an organizer cancels an event or activity, all affected attendees will receive a full refund.

2. Refund Processing In the event of an organizer-initiated cancellation, Clooza will automatically process refunds to the original payment method used at the time of booking. Refunds are typically issued within 5 business days from the cancellation confirmation. Please allow additional time for your bank or payment provider to reflect the funds.

3. No User-Initiated Cancellations Once a booking is confirmed, users are not able to cancel or request a refund unless the event is canceled by the organizer. We encourage users to carefully review event details before booking.

4. Force Majeure and Special Cases In rare situations such as natural disasters, public safety concerns, or other force majeure events, Clooza may intervene and issue refunds at our discretion, in collaboration with the event organizer

Intellectual Property

All platform content and trademarks are owned by Clooza or licensors and protected by law.

Disclaimers of Warranties

Clooza is provided "as is" without warranties of any kind. We do not guarantee uninterrupted or error-free service.

Limitation of Liability

Clooza is not liable for indirect or incidental damages or for user error in attending or paying for the wrong events.

Indemnification

You agree to indemnify and hold harmless Clooza for claims arising from your use of the Platform or user errors.

Termination

We may terminate your access at any time. Sections like Intellectual Property, Disclaimers, and Indemnification survive termination.

Governing Law and Dispute Resolution

These Terms are governed by the laws of Delaware. Disputes shall be resolved in Delaware courts.
